Associate General Counsel - Matheson Tri-Gas, Inc.
Location: Basking Ridge, New Jersey

Matheson Tri-Gas, Inc. has an immediate opening for an
experienced Attorney at its Corporate Headquarters in Basking Ridge,
NJ. This generalist position will report to and assist the General
Counsel and is ideally suited for an enthusiastic legal professional
seeking a career as an in-house attorney.

The responsibilities of this position will include the following:
* Research, review, interpret, draft and negotiate a variety of
commercial contracts associated with Mathesons electronic and
specialty gas business. Types of contracts include sales, consulting,
product support, construction, lease, and non-disclosure
agreements
* Provide counsel to business personnel on matters of law and policy,
with an emphasis on M&A, real estate and litigation
* Assist business personnel on environmental activities and compliance
with Federal and State regulations
* Support Mathesons existing international business groups and the
expansion into additional territories
* Manage litigation & other dispute processes, including managing
outside counsel to achieve Matheson's legal objectives within
approved budgetary parameters
* Prepare, review and coordinate financing contracts and documents,
including bond documents, notes and mortgages
* Assist with the corporate governance requirements of Matheson and
its subsidiaries

Candidates should have the following minimum qualifications:
* J.D. from an ABA accredited law school with excellent academic
credentials and admission to the NJ state bar or NJ In-House Counsel
License
* Minimum of 7-10 years of experience as a commercial transactional
attorney with experience in product sales and service-related
transactions
* Strong negotiation, analytical, and drafting skills
* Demonstrated ability to work efficiently, meet demanding deadlines
and balance multiple tasks in a fast-paced environment with minimum
supervision
* Excellent oral and written communication skills
* Working knowledge of Microsoft Office and PowerPoint
* Ability to work independently and partner effectively in a team
environment
* Prior experience in commercial law and mergers & acquisitions within
a chemical or industrial/specialty gas industry is a plus
