Location: Alameda, CaliforniaWe are seeking an energetic, knowledgeable attorney to take
on a role as Corporate Counsel in Wind River's legal department. The
position is ideal for someone who has strong communication and
presentation skills and professionalism. The successful candidate
will be a proactive attorney who can work effectively with teams and
independently, and who can manage projects to closure, with attention
to detail.
Responsibilities of the position include:
-Provide legal advice on corporate governance, corporate securities,
Sarbanes-Oxley, Foreign Corrupt Practices act, and other compliance
matters. Manage legal aspects of all SEC reporting and corporate
compliance matters, including advising on SEC rules, regulations and
compliance, including Exchange Act reports, Section 16 issues, and
NASDAQ compliance.
-Provide support to corporate strategy and development team with
respect to mergers and acquisitions and corporate investments.
-Participate in cross-functional projects on a variety of legal and
business matters
-Support finance department, investor relations, stock administration
and human resources
-Support Board activities and prepare materials and minutes for Board
and Committee meetings
-Direct outside legal counsel and other external advisors
Special projects as requested
Requirements:
A successful candidate will have a law degree, approximately 5 years
of legal experience in corporate securities, corporate governance and
M&A transactions, and be a member of the California state bar. Ideal
candidate would also have expertise in other areas of the law, such
as: software licensing, commercial contracts, intellectual property
and/or employment
law. In house experience is preferred and top tier law firm training
is required.
