We currently seek a Corporate Law and M&A Counsel join our Corporate Headquarters in Madison, NJ. Primary objective will be to serve as legal advisor and counselor on a broad range of corporate law matters. Focus will be on the structuring/execution of domestic and international M&A and other corporate transactions, large and small, and pharmaceutical, consumer health and animal health divisions. Selected candidate will work closely with the Vice President & Associate General Counsel and Senior Corporate Counsel as part of a small, dedicated legal team servicing the broad range of the company's corporate and transactional needs, including primary legal support for Wyeth's global business development efforts.
RESPONSIBILITIES
• Draft and negotiate transaction agreements.
• Engage and manage outside counsel.
• Coordinate due diligence.
• Collaborate with Wyeth's IP, tax, antitrust, employee benefits and
environmental specialists.
• Participate in securities, corporate finance and treasury projects.
REQUIREMENTS
• JD with topnotch academic qualifications
• Member of at least one state bar
• 6-10 years of in-house and/or law firm experience with corporate transactions
• Diverse transaction/project management experience
• Familiarity with corporate finance/accounting
• Pharmaceutical/health care experience beneficial.
